These Terms of Service (“Terms”) govern your access to and use of the website at dealergrowth.ai and the consulting, AI systems, and related services offered by Dealer Growth AI (“we,” “us,” or “our”). By accessing the site or engaging our Services, you agree to these Terms.
Dealer Growth AI provides AI-powered consulting and systems for outdoor living dealers, operated by Brian Janke from Spokane Valley, Washington. Contact: brian@dealergrowth.ai · (509) 220-8310.
You must be at least 18 years old and able to form a binding contract to use our Services. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
We offer discovery calls, consulting, implementation support, and related AI/automation systems for dealerships. Specific scope, deliverables, fees, and timelines for paid engagements will be set out in a separate proposal, statement of work, or written agreement. If there is a conflict between that agreement and these Terms, the written agreement controls for that engagement.
Discovery calls and website content are informational. They do not create a client relationship unless and until we enter a paid engagement in writing.

Fees for paid Services are as agreed in writing. Unless otherwise stated, invoices are due upon receipt. Late amounts may accrue reasonable collection costs. You are responsible for applicable taxes.
The website, branding, copy, frameworks, and materials we create remain our intellectual property unless we expressly assign them in writing. During an engagement, you receive a non-exclusive license to use deliverables we create for your internal business purposes, subject to payment of applicable fees.
You retain ownership of your dealership data, customer lists, and materials you provide to us. You grant us a limited license to use that material solely to perform the Services.
Each party agrees to keep confidential non-public information received from the other in connection with the Services, and to use it only as needed to perform under these Terms or a related agreement, except where disclosure is required by law or the information is already public through no fault of the receiving party.
Our Services may involve configuring or recommending third-party software (for example, CRM, messaging, analytics, or AI platforms). Those tools are provided by third parties under their own terms. We are not responsible for outages, pricing changes, policy changes, or acts of those providers.
We work diligently to help dealers improve lead handling, follow-up, and operations. Results vary based on market conditions, team execution, product mix, and other factors outside our control. We do not guarantee specific revenue, lead volume, conversion rates, or other business outcomes.
THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALER GROWTH AI AND BRIAN JANKE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SITE OR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. IF YOU HAVE NOT PAID US, OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
You agree to indemnify and hold harmless Dealer Growth AI and Brian Janke from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your violation of third-party rights or laws.
You may stop using the website at any time. Either party may end a paid engagement as provided in the applicable written agreement, or if none, upon written notice. Provisions that by their nature should survive (including intellectual property, confidentiality, disclaimers, and limitation of liability) will survive termination.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Courts located in Spokane County, Washington will have exclusive jurisdiction over disputes arising from these Terms, except that we may seek injunctive relief in any appropriate venue.
We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Continued use of the website or Services after changes constitutes acceptance of the updated Terms. Material changes to an active paid engagement will be handled as stated in that engagement’s agreement or by mutual written consent.
